Purse Money Spend Corporate Card Authorized User Agreement

1. Overview

This Authorized User Agreement ("Agreement") governs your use and access to the Purse Money Spend Corporate Card ("Purse Money Card") and related services (collectively, "Services") as specified under the Dashboard Agreement and Program Terms established between Purse Money and your company ("Company"). "User" refers to you as the authorized individual, acting on behalf of the Company. The Purse Money Card is issued by Third National ("Issuer") to the Company’s account holder under the Purse Money Dashboard Agreement and the Purse Money Spend Corporate Card Program Terms.

2. Acceptance of Terms

By accessing the Services as an Authorized User of the Company’s Purse Money Account, you confirm acceptance of and adherence to this Agreement, the Dashboard Agreement, Program Terms, applicable law, and Card Network rules. Continued use constitutes agreement to any amendments or additional terms. Purse Money reserves the right to modify these terms, and any substantial changes will be communicated to you where feasible.

3. Arbitration

Disputes under this Agreement are subject to individual arbitration under Section 12 of the Dashboard Agreement, prohibiting class actions or class arbitrations. You may opt out within the specified period as provided in Section 12.

4. Eligibility

You confirm that:

You are authorized by the Company to access the Services as an employee, contractor, or agent.
You will use the Purse Money Card solely for business-related purposes.
You are not a sanctioned individual under U.S. law, including by OFAC.
All provided information is accurate and complete.

5. User Access and Security

Authorized access to Services is contingent on Company and Purse Money approval. Unauthorized use or attempts to bypass security measures are strictly prohibited. Users are responsible for safeguarding their Purse Money Card and account credentials. Immediately report any security breaches or loss of the Purse Money Card to a Company Administrator.

6. Electronic Communication

By using the Services, you consent to receive electronic communications from Purse Money regarding your usage, including updates and transaction alerts. Maintaining an updated browser and device is essential for receiving these notifications.

7. Personal Information Use

To activate the Services, you may be required to provide specific personal data ("Personal Data"). You consent to Purse Money’s collection, verification, and use of your Personal Data per Purse Money’s Privacy Policy. Questions regarding data usage should be directed to support@purse.money.

8. Usage Restrictions

The Purse Money Card is strictly for authorized Company business expenses and may not be used for personal or non-business transactions. Prohibited uses, including transactions benefitting sanctioned individuals or entities, will result in access restrictions.

9. Ownership of Intellectual Property ("IP")

Purse Money retains all rights to its IP, including technology, trademarks, and content related to the Services. Users are prohibited from unauthorized reproduction, distribution, or modification of Purse Money IP.

10. Feedback and Unsolicited Content

Purse Money may solicit your input regarding the Services. Any feedback provided becomes Purse Money's property and may be used without obligation to compensate you. Unsolicited submissions will not be considered, and Purse Money assumes no responsibility for any similarities with future Purse Money products or services.

Purse Money may provide links to third-party content and sites. These sites operate independently, and Purse Money disclaims responsibility for third-party content and practices. Engaging with third-party sites is at your own risk, and their terms will apply.

12. Suspension and Termination

Purse Money reserves the right to suspend or terminate your access to Services at its discretion or at the Company’s directive. Termination of the Dashboard Agreement with the Company results in the immediate termination of this Agreement, except for obligations intended to survive termination.

13. Dispute Resolution

This Agreement is subject to arbitration, waiving any right to jury trials or class proceedings as detailed in Section 12 of the Dashboard Agreement.

14. Governing Law

The Agreement is governed by the laws of Puerto Rico. Any judicial proceedings exempt from arbitration are subject to the jurisdiction of Puerto Rican courts.
